As the center of Indonesia’s economy and government, Jakarta indeed has the highest population density in the country. This population density is accompanied by an increase in vehicle ownership, often leading to a sharp rise in traffic volume on several roads in Jakarta. To alleviate the burden of vehicle volume on both main and toll roads in Jakarta, the government initiated the development of toll road projects, one of which is the Jakarta Outer Ring Road West 2 (JORR W2) North. This project was then entrusted to PT Marga Lingkar Jakarta, a subsidiary of PT Jasa Marga (Persero) Tbk and PT Jakarta Marga Jaya.
PT Marga Lingkar Jakarta (hereinafter referred to as “MLJ,” “Company,” and “Corporation”) is a subsidiary of PT Jasa Marga (Persero) Tbk and PT Jakarta Marga Jaya, engaged in the toll road management of JORR W2 North (Ulujami – Kebon Jeruk), which includes funding, technical planning, construction execution, operation and maintenance of the toll road, as well as other business activities in accordance with applicable regulations and laws.
The company was established based on Notarial Deed No. 26 dated August 24, 2009, drawn up before Edi Priyono, S.H., a Notary in Jakarta, and received approval from the Minister of Justice of the Republic of Indonesia (as amended from time to time, hereinafter referred to as the Minister of Law and Human Rights) under Decree No. AHU-45700.AH.01.01 Year 2009 dated September 15, 2009, and recorded in the Company’s Registry at the Ministry of Law and Human Rights No. AHU-0061511.AH.01.09.Year 2009 dated September 15, 2009, and announced in the State Gazette of the Republic of Indonesia No. 68 dated August 24, 2010, Supplement No. 14210 (“Deed of Establishment”).
Since its establishment, the Company’s Articles of Association have undergone several amendments, with the most recent being set forth in Deed No. 14, dated December 22, 2016, drawn up before Tatyana Indrati Hasjim, S.H., a Notary in Central Jakarta, which has received approval from the Minister of Law and Human Rights under Decree No. AHU-0024998.AH.01.02 Year 2016 dated December 23, 2016, notified to the Ministry of Law and Human Rights, and accepted under Notification Receipt of Articles of Association Amendments No. AHU-AH.01.03-0111645 dated December 23, 2016, and registered in the Company’s Registry at the Ministry of Law and Human Rights No. AHU-0154575.AH.01.11 Year 2016 dated December 23, 2016 (“Deed No. 14”).
