Jakarta with its highest density in Indonesia is also Indonesia’s central economic and government. Population density is also go along with increasing vehicle ownership rate, so that in several road sections in Jakarta the vehicles volume are rapidly increasing. Therefore to reduce vehicles volumes both in protocol road section and toll road section in Jakarta, the Government initiated toll road project, one of them is North Jakarta Outer Ring Road West 2 (JORR W2). The project was then assigned to PT Marga Lingkar Jakarta as subsidiary of PT Jasa Marga, a State-Owned Enteprise (BUMN) engaged in developing toll road services.
PT Marga Lingkar Jakarta (hereinafter referred to as “MLJ”, “Company” and “Corporate”) is a subsidiary of PT Jara Marga (Persero) Tbk engaging in toll road concession of North JORR W2 (Ulujami – Kebon Jeruk), including financing, technical planning, construction, toll road operation and maintenance, as well as other business pursuant to prevailing laws and regulations.
Incorporate pursuant to Notarial Deed No. 26 dated August 24, 2009, drawn up in the presence of Edi Priyono, S.H., a Notary in Jakarta who has obtained ratification from Minister of Law Republic of Indonesia (as amended from time to time, hereinafter referred to as Ministry of Law and Human Rights), based on Decision Letter No. AHU-45700.AH.01.01 of 2009 dated September 15, 2009, and registered in Company Registry of Ministry of Law and Human Rights No. AHU-0061511.AH.01.09 of 2009 dated September 15, 2009, and was announced in State Gazette Republic of Indonesia No. 68 dated August 24, 2010, Supplement No. 14210 (“Deed of Incorporation”)
Since its incorporation, the Company’s Articles of Association has been several times amended; the last amendment was contemplated in Deed No. 14, dated December 22, 2016, drawn up in the presence of Tatyana Indrati Hasjim, S.H., a Notary in Central Jakata, who has obtained approval of Ministry of Law and Human Rights pursuant to Decision Letter No. AHU-0024998.AH.01.02 of 2016 dated December 23, 2016, and was received based on Receipt of Notification of Changes to the Articles of Association No. AHUAH.01.03-0111645 dated December 23, 2016 and was registered in Company Registry of Ministry of Law and Human Rights No. AHU-0154575.AH.01.11 of 2016 dated December 23, 2016 (“Deed No. 14”)
